Data Processing Addendum

Version 1.2 · Effective July 30, 2026

This Data Processing Addendum forms part of the Master Services Agreement between Trimio, Inc. and its customers (MSA §9.1). Questions: compliance@trimio.ai.

This Data Processing Addendum ("DPA") forms part of the agreement between Trimio, Inc. ("Trimio", "we", "us", "our") and the customer ("Customer", "you", "your") for the provision of the Trimio AI Proxy service (the "Services"). It governs the processing of Personal Data by Trimio on Customer's behalf.

This DPA reflects the parties' agreement on the processing of Customer Personal Data in accordance with applicable Data Protection Laws, including the EU General Data Protection Regulation 2016/679 ("GDPR"), the UK GDPR, and the California Consumer Privacy Act as amended by the CPRA ("CCPA/CPRA").

1. Definitions

  • "Customer Data" means data submitted by Customer to the Services for processing.
  • "Personal Data" means any information relating to an identified or identifiable natural person, as defined under applicable Data Protection Laws.
  • "Process" / "Processing" has the meaning given under GDPR Article 4(2).
  • "Controller", "Processor", and "Data Subject" have the meanings given under GDPR Article 4.
  • "Sub-processor" means a third party engaged by Trimio to process Customer Personal Data on Trimio's behalf in connection with the Services.
  • "Standard Contractual Clauses" or "SCCs" means the standard contractual clauses adopted by the European Commission for the transfer of personal data to third countries.
  • "Trust Center" means Trimio's trust and security page at trimio.ai/trust, which consolidates Trimio's compliance status, security controls, subprocessor list, and related resources.

2. Roles of the parties

Role Party Notes
Controller Customer Determines the purposes and means of processing
Processor Trimio Processes Personal Data on Customer's instructions
Sub-processor See the subprocessor list on the Trust Center Process Personal Data on Trimio's instructions, on behalf of Customer

3. Subject matter, duration, nature, and purpose of processing

Property Description
Subject matter Trimio proxies inference traffic between Customer's applications and upstream LLM providers. The processing is incidental to that proxy function.
Duration For the duration of the Services Agreement, plus any retention period required by applicable law or as agreed in this DPA.
Nature of processing Receipt, routing, optimization, forwarding, logging, and storage of API requests and (optionally) request and response bodies.
Purpose Provision of the Services (cost optimization, observability, governance) to Customer.
Categories of Personal Data Determined by Customer. Personal Data may be present in API request and response bodies (e.g., user prompts containing names, email addresses, or other identifiers). Customer determines what content to send through the Services.
Categories of Data Subjects Customer's end users, employees, or any other natural persons whose data Customer includes in requests sent through the Services.

4. Trimio's obligations

Trimio shall:

  1. Process Personal Data only on documented instructions from Customer, including with regard to transfers of Personal Data to a third country, unless required to do so by EU or member state law (in which case Trimio shall inform Customer of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest).
  2. Ensure that persons authorized to process the Personal Data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality.
  3. Implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including those described in Annex II of the SCCs and in the security controls section of the Trust Center.
  4. Respect the conditions for engaging another processor as set out in Section 5 (Sub-processors).
  5. Assist Customer in fulfilling its obligations to respond to Data Subject requests (access, rectification, erasure, restriction, portability, objection, automated decision-making) by providing the technical means to do so. Customer may submit such requests to privacy@trimio.ai.
  6. Assist Customer in ensuring compliance with security, breach notification, data protection impact assessment, and consultation obligations under GDPR Articles 32-36.
  7. At Customer's choice, delete or return all Personal Data to Customer after the end of the provision of services, and delete existing copies unless EU or member state law requires storage.
  8. Make available to Customer all information necessary to demonstrate compliance with this DPA, and allow for and contribute to audits conducted by Customer or an auditor mandated by Customer, subject to the limits in Section 9.

5. Sub-processors

5.1. Customer provides Trimio with a general written authorization to engage Sub-processors. Trimio maintains a current list of Sub-processors on the Trust Center subprocessor section.

5.4. Where Trimio engages a Sub-processor, Trimio shall impose contractual obligations on the Sub-processor that are no less protective than those imposed on Trimio under this DPA.

5.5. Trimio shall remain fully liable to Customer for the performance of Sub-processors' obligations.
